TERMS AND CONDITIONS
• GENERAL
BUYER (CUSTOMER) is responsible for paying when signing and accepting a Sales Order, or sending an order by Fax or email. SINCE ALL ITEMS ARE MADE TO ORDER, cancellations, changes, and/or modifications to this Sales Order are only accepted if received “In writing” and acknowledged for by GLOBAL TRENDS, LLC within 72 hours of order placement. Customer is responsible for full payment of this Sales Order once this period expires. No exceptions.
• PAYMENT TERMS
All new CUSTOMERS must pay by Credit Card or Check. IF PAYING BY CHECK, a seven (7) day waiting period will apply for clearing of funds before merchandise ships. CUSTOMER must sign a Credit Card Authorization Form at the time of order placement and leave a credit card imprint, with the actual card that will be charged by GLOBAL TRENDS, LLC or any of its designers, for that particular order. New CUSTOMER’S first order must have a matching Billing and Shipping Address.
Net 30: GLOBAL TRENDS, LLC will extend Net 30 Terms only to qualified customers who provide us with a Completed New Credit Account Application (GLOBAL TRENDS, LLC to provide form). CUSTOMERS on Net 30 Terms will have their VISA or MasterCard charged if payment in full has not been received within 7 days of the Due Date referenced on their invoice. Retailers will lose their Net 30 privilege with late payments.
COD: We ship COD only to CUSTOMERS who pay with a certified check or money order (Secured Payment). Additional $15 processing fee applies.
• ORDER DELIVERY TIME LINES
We usually ship wholesale orders either immediately (for merchandise we have in stock), from 25 to 45 days (for accessories) and 45 to 90 days (for clothing) after order is received, depending on amounts, products and designers ordered. Ship window will be indicated on Sales Order and CUSTOMER agrees to this window.
• SHIPPING
Shipping Method: We use Fedex Ground unless otherwise requested by CUSTOMER. All orders are FOB Miami, and freight must be paid by CUSTOMER.
Partial/Multi-Shipments: GLOBAL TRENDS, LLC will ship complete whenever possible, however we retain the right to cancel back ordered items with prior notification to our customers. In some cases, CUSTOMER might receive order distributed in several shipments. We will not charge CUSTOMER more for shipping than the amount that was originally quoted.
Missing Merchandise: Although we carefully pack and check merchandise against packing slip, we ask you to let us know within three (3) days of receiving your shipment if there are any discrepancies in quantities shipped. We will not be responsible if we do not hear from you in writing at customerservice@globaltrends.biz, after the tree (3) day deadline.
• MERCHANDISE RETURN POLICY
Defective Merchandise: Please inspect merchandise for damage or defects, and GLOBAL TRENDS, LLC, will unconditionally replace any such merchandise within five (5) days of receipt. Please write to us at customerservice@globaltrends.biz to obtain an RMA Number prior to returning it to us via “regular” mail for replacement. (We will only reimburse for US Postal Service Priority Mail charges). Merchandise will not be accepted without an RMA number. Please insure and track merchandise when shipping RMA.
Exchanges: We are available to guide you regarding your initial product selection. However, we understand that occasionally our retail partners may purchase styles that ultimately prove not to be as suitable as expected for their customer base. GLOBAL TRENDS, LLC will work with our COMMITTED retail partners by accepting exchanges on occasion, and at GLOBAL TRENDS, LLC discretion under the following guidelines:
1. No exchanges will be accepted for “phase-out” styles.
2. Merchandise returned in exchange for credit toward other products carried by GLOBAL TRENDS, LLC will be assessed a restocking fee of 20%. Merchandise credits expire after 6 months if unused.
Fit: We have included a sizing chart on our clothing designer’s line sheets. We have indicated the model’s sizes pictured on the line sheets, as well as any notes about the fit of each garment. Customer must inform GLOBAL TRENDS, LLC in writing within five (5) days of receipt of merchandise about any problems regarding fit so the garment can be corrected or replaced. Merchandise will only be corrected or replaced if it has a fit defect, and only if the defect is reported within five days of receipt. GLOBAL TRENDS, LLC will not accept any returns for fit issues.
Warranty: GLOBAL TRENDS, LLC will replace merchandise deemed by GLOBAL TRENDS, LLC to be mechanically defective for up to thirty days (30) from the date of delivery to our retail partner. GLOBAL TRENDS, LLC reserves the right to make such determination, and will not replace merchandise that has been clearly mistreated by the owner or CUSTOMER.
• PRODUCT PHOTOGRAPHS
If you would like to use our pictures for your website or store, please email us at customerservice@globaltrends.biz and we will forward you pictures, when available, and at our discretion, for the items you have ordered. These photos will be delivered to you with your order and not before. Please limit requests to the items that you actually stock. Our CUSTOMERS are authorized to use our pictures for retail websites only. We do not authorize the use of our copyrighted product pictures for other wholesalers or distributors in e-mails, websites, printed catalogs or any other form or for any other purpose than selling our brands. If CUSTOMER would like to borrow samples for a photo shoot to promote a store, catalog, or website, CUSTOMER must carry those products in inventory. Otherwise CUSTOMER will be liable for Copyright or Trademark infringement, and CUSTOMER will have to pay commercial rental fees for the items used.
• PRICING
Prices are subject to change.
• CARE INSTRUCTIONS
Gold Vermeil: Avoid contact with water, perfume and any liquids. Silver: Our silver accessories can be cleaned with any commercial silver cleaners if they tarnish with time. Avoid silver “washes or dips, “ as these might damage some surfaces. Pre-treated cloths and pastes are the best for our products. Never polish stones, beads, or horn with these products. Leathers: Avoid contact with water. Fabrics: Do not wash our fabric handbags. A great idea to prevent stains is pre-treating fabrics with a commercial shoe and handbag water repellent found widely at most shoe and handbag stores. Please refer your customers to the garments care instruction labels. Straw: Straw hats and bags with time might slightly lose their shape. With a water mister or damp cloth apply low quantities of moisture and let dry in the desired shape. As soon as it is dried, it will go back to its original shape.
• EXCLUSIVITY
On occasion, GLOBAL TRENDS, LLC might work with retailers on exclusivity agreements based on collections, seasons, zip code, mall, area, etc. A separate exclusivity agreement must be signed and this Sales Order does not guarantee any exclusivities unless an additional contract is signed. For exclusivity, a minimum amount per order, per season will be requested.
• TRUNK SHOWS/EVENTS
We support our retail partners and frequently collaborate on trunk shows and events to promote certain brands, special occasions or new collections. We only work with CUSTOMERS who have ordered AND RECEIVED their merchandise and already carry our brands. Merchandise for trunk shows/events is on consignment, but a credit card slip must be signed for the full amount of the loan. The merchandise must be returned within the specified time frame on the sales order, and payment for sold items is due IN FULL on the last day of the consignment period stated on the SALES ORDER. Any damaged or lost items are the full responsibility of
CUSTOMER, and they must be paid together with the sold merchandise. Merchandise for Trunk Shows/Events will be loaned at GLOBAL TRENDS, LLC discretion. Shipping to and from store must be paid by CUSTOMER.
• COPYRIGHTS AND TRADEMARKS
CUSTOMER acknowledges and agrees that GLOBAL TRENDS, LLC and its respective designers are the exclusive owners of all copyrights and trademarks, and they are not to be used without GLOBAL TRENDS, LLC or its designer’s express written authorization, including without limitation the merchandise listed and identified on the reverse side of this Order.
• APPLICABLE LAW
This agreement shall be governed by, and constructed in accordance with the federal laws of the United States. CUSTOMER agrees that Venue and jurisdiction are proper in Miami-Dade County, Florida.
• LEGAL FEES
If CUSTOMER breaches any of the terms and Conditions identified on this Sales Order, and COMPANY is forced to seek legal recourse against CUSTOMER, CUSTOMER acknowledges and agrees that CUSTOMER will pay GLOBAL TRENDS, LLC’s attorney’s fees, costs, and any and all damages associated therewith.
